TERM AND TERMINATION

CONTROLLING LAW, JURISDICTION, AND INTERNATIONAL USERS

This Agreement is governed by and shall be construed in accordance with the laws of Tennessee, U.S.A., without reference to its conflicts of legal provisions. Computer Repair Services makes no representation that the materials are appropriate or available for use outside the United States. If you access this site from outside the United States, you will be responsible for compliance with all local laws. You agree to comply with all laws and regulations applicable to your use of this site. You agree that if a dispute or claim arises between Computer Repair Services and you arising out of the use of this site or out of the services you may arrange by use of this site, the exclusive venue for all disputes arising out of or in connection with this agreement shall be the Small Claims, District, or Superior Court of Tennessee, Davidson County and Client submits to jurisdiction in those courts, and you agree to pay all attorney’s fees associated with such claim.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between Computer Repair Services and you with respect to this Website, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Computer Repair Services with respect to this Website. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. If for any reason a court of competent jurisdiction finds any provision of this Agreement or portion thereof to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of this Agreement, and the remainder of this Agreement shall continue in full force and effect. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

MODIFICATIONS TO AGREEMENT

We may revise this Agreement at any time and you agree to be bound by the revised Agreement. Any such modifications will become effective upon the date they are first posted to this site. It is your responsibility to return to this Agreement from time to time to review the most current terms and conditions. Computer Repair Services does not and will not assume any obligation to notify you of changes to this Agreement.

ELECTRONIC COMMUNICATIONS AND ELECTRONIC SIGNATURES

You agree to be bound by any affirmation, assent, or agreement you transmit through this Website, including but not limited to any consent you give to receive communications from Computer Repair Services solely through electronic transmission.

You agree that when in the future you click on an "I agree," "I consent," or other similarly worded "button" or entry field with your mouse, keystroke, or other computer device, your agreement or consent will be legally binding and enforceable and the legal equivalent of your handwritten signature.

PRICING AND TERMS AGREEMENT

Client agrees to pay a service charge of $99.00 for first hour and $25.00 for every 15 minutes after the first hour for Computer Repair Services, to come to the Client's location to make the service call. If the location is commercially zoned Client agrees to pay a service charge of $125.00 per hour with 2 hour minimum plus $20.00 trip fee.

Client agrees to pay the following fees in the event of an appointment cancellation: If cancelled 2 to 24 hours before the appointment, $29; if cancelled less than 2 hours before the appointment, $59; and if cancelled after the Repair technician has arrived at the service site, $99. The minimum charge for residential service is $99 (minimum hour service charge) and is due regardless of outcome of service. For commercially zoned clients, there is a minimum charge of $270. Computer Repair Services , reserves the right to charge a $99 cancellation fee for commercially zoned service calls cancelled within 24 hours of the agreed upon appointment date. Computer Repair Services does not provide billing services to clients. There is a $20 charge for returned checks. Computer Repair Services, reserves the right to refuse service as well as to change fees and rates at any time without notice. Client agrees to pay Computer Repair Services, for all charges at the time of service.

Client agrees to release and hold harmless Computer Repair Services, from any and all liability associated with the performance of service or the provision of parts, and acknowledges also that Computer Repair Services offers no explicit or implied warranty or guarantee on services performed or parts provided, other than the manufacturer's warranty.

Client agrees to release and hold harmless Computer Repair Services , from all liability for damage or loss as well as any incidental or consequential material or financial damage or loss that may result from the actions of Computer Repair Services , , its agents or service representatives, even if Computer Repair Services has been advised of the possibility of such damages. To the extent that a state does not permit the exclusion or limitation of liability as set forth herein, Computer Repair Services’ liability is limited to the extent permitted by law in such states.

Client grants Computer Repair Services, its agents and service representatives, access and permission to physically disassemble any and all computer systems, components, networks, and peripherals. Client grants Computer Repair Services, its agents, and service representatives, permission to perform modification to Client's home or office property for the purpose of installing or troubleshooting computer and networking hardware. Client grants Computer Repair Services, its agents and service representatives, permission to download and install software on Client's computer and network. Client grants Computer Repair Services, its agents and service representatives, permission to install hardware in Client's computer and network.

The exclusive venues for all disputes arising out of or in connection with this agreement shall be the District Court of Nashville, Tennessee, or the Superior Court for Davidson County, Tennessee, and Client submits to jurisdiction in those courts. Client further agrees to pay all expenses and attorney’s fees associated with such litigation.

Client agrees that the service Repair technician is an independent contractor whose services were arranged for by Computer Repair Services, and that Computer Repair Services, does not have control over the manner in which the Repair technician performs his or her services.

Computer Repair Services, strongly recommends that Client safeguard critical data by backing up said data prior to any services performed by Computer Repair Services, Unless specifically requested and provided as a paid service by Computer Repair Services, Client is responsible for any backup, archiving, or protective storage as well as restoration, if required, of Client's data. Computer Repair Services is a provider of billable on-site services. Neither the signing of this agreement nor the performance of services by Computer Repair Services implies availability of telephone repair technical support. This document constitutes the entire agreement.
